Esker Acquires VSI

Esker S.A., a French software company, has reached an agreement to acquire V-Systems Inc. (VSI). As part of the transaction, Esker will issue approximately 447,000 new shares of Esker stock to VSI shareholders in exchange for 100 percent of VSI's outstanding shares.
Esker's (www.esker.com) acquisition of VSI (www.vsi.com) will play a key role in the pursuit of the electronic document distribution (EDD) market. EDD enables distribution of any document from virtually any source through any electronic messaging infrastructure. This will enable installed applications to reliably deliver documents in a secure manner over the Internet. Esker intends to deliver an EDD solution to market using its core competency in host access, legacy applications, and fax document distribution, combined with VSI XML technologies and expertise.
VSI is a developer of integrated network fax solutions. VSI also creates and markets other whole product fax solutions, including VSI-Fax for Notes and VSI-Fax for Baan.
